Homeowners General Council – Annual meeting

The Homeowners General Council (Council) will hold an annual meeting in the complex, called by the Board of Directors (Board). At this meeting, the Council will discuss the election of the members of the Board of Directors; approval of the annual budget for the administration, maintenance and repair of common areas; and any other pertinent issue submitted for discussion.

The annual meeting will be held on the anniversary of the first meeting of the Council in which the first Board was elected, or on the date the Board calls for a special meeting, as long as one year has not passed since the previous Council meeting.

It is the duty of the President of the Board to call for special meetings of the Council. The call to assemble will be signed by the person(s) making the call, and will indicate the issues to be discussed, the day, time and place of the meeting. The Council meetings will be held at the complex.

Every Homeowner will be sent a meeting notice. Such notice will be delivered no less than five (5) days and no more than ten (10) days prior to the meeting. The meeting notification may be delivered at the apartment of each homeowner, unless the homeowner sends a written request to the Secretary of the Board that meeting notifications be sent to another address.

Quorum for a Council meeting is established with the attendance of at least half plus one of the homeowners whose apartments in turn represent at least one-third participation of the common elements, according to the percentages assigned per apartment.

Attendance at Council meetings will be in person or by legal or voluntary representation, sufficing for the latter a signed statement by the homeowner assigning to another homeowner his representation (i.e., by proxy). Majority vote is defined as at least half plus one of the homeowners whose apartments represent at least fifty-one (51) percent of participation in the common elements, according to the percentages assigned per apartment.

When a quorum cannot be established at a Council meeting, a new call to assemble with the same requirements as the first will be issued, and in such a meeting, a quorum will be established by the ones in attendance.

When all homeowners in attendance at a meeting adopt an agreement that requires unanimity, the absent and properly summoned homeowners will be notified in a detailed manner, and if within a period of thirty (30) days from the notification date they do not express disagreement, they will be bound by the agreement, which will not be executable until such time.

In the same way, when all homeowners in attendance at a meeting adopt amendments to the By-Laws, requiring the vote of two-thirds (2/3) of all homeowners, the absent and properly summoned homeowners will be notified in a detailed manner, and if within a period of thirty (30) days from the notification date they do not express disagreement, they will be bound by the agreement, which will not be executable until such time. The vote of those homeowners not expressing disagreement will be counted as in favor of the agreement.
